Integritas Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Integritas platform provided via https://integritas.technology ("Website") and any related services ("Service").Integritas is a cryptographic data integrity and verification platform designed for enterprise and developer use.By accessing or using the Service, you agree to be bound by these Terms.

These Terms apply to all users of the Integritas SaaS platform. Please read them carefully.

1. About Us

The Integritas Service is operated by Minima AG, a company registered in Switzerland under company number CHE-270.349.370 with its registered office at Seeweg 8, 6330 Cham, Switzerland ("we", "us", "our").

2. Service Description

Integritas is a software platform that enables users to generate, anchor, and verify cryptographic representations of data, including hashing, timestamping, and integrity verification via user interfaces and APIs.

The Service is designed to provide tamper-evident integrity records and auditability.

3. Service Models

The Service may be provided in one or more of the following forms:

(a) Hosted Service (SaaS)
A service operated and managed by us, accessible via the Website and API endpoints.

(b) Distributed or Self-Hosted Deployment
Software, APIs, or infrastructure components deployed and operated by you within your own environment or third-party infrastructure.

The responsibilities, performance characteristics, and liability differ depending on the Service model used.

4. Eligibility And Account Access

You must be at least 18 years old and legally capable of entering into a binding contract.

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

5. Subscription and Payment

Access to the Hosted Service requires a paid subscription.

  • Fees are billed monthly or annually in advance
  • All fees are exclusive of applicable taxes unless stated otherwise.
  • Plans may be upgraded or downgraded at any time
  • We may suspend access for non-payment

6. Acceptable Use and API Usage

You agree to:

  • Use the Service only for lawful purposes
  • Not misuse, interfere with, or disrupt the Service
  • Not attempt unauthorised access to systems or data
  • Not resell or sublicense the Service without permission

API usage is subject to:

  • rate limits and usage thresholds
  • technical documentation and constraints

We may throttle, suspend, or restrict access where usage is excessive, abusive, or impacts system performance.

7. Intellectual Property

All intellectual property rights in the Service remain with Minima AG or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for internal business purposes.

8. User Data and Privacy

You retain ownership of your data.

You are solely responsible for:

  • the accuracy, legality, and integrity of submitted data
  • ensuring you have the right to use and submit such data

9. Nature of Verification

The Service provides cryptographic mechanisms to support data integrity verification.

The Service:

  • does not verify the truth, authenticity, or legality of data
  • does not provide legal certification or attestation
  • does not guarantee evidentiary admissibility

All outputs are technical artefacts only.

You are solely responsible for determining their use and legal relevance.

10. Third-Party and Distributed Infrastructure

The Service may rely on third-party infrastructure including:

  • blockchain or distributed ledger networks
  • cloud providers
  • external APIs

We do not control and are not responsible for:

  • availability
  • performance
  • security
  • network behaviour

External systems may experience:

  • delays
  • forks
  • inconsistencies
  • outages

11. Distributed API and Network Behaviour

Certain functionality may be delivered via distributed infrastructure or multi-node APIs.

You acknowledge that:

  • responses may vary between nodes
  • data propagation may not be instantaneous
  • temporary inconsistencies may occur
  • requests may be routed via external infrastructure

We do not guarantee real-time consistency, ordering, or synchronisation.

You are responsible for implementing appropriate validation, retry logic, and reconciliation.

12. Self-Hosted and Distributed Deployment

Where the Service is deployed in your own environment:

  • You are solely responsible for deployment, operation, and maintenance
  • You are responsible for infrastructure, security, and uptime
  • We do not control your environment

We are not liable for:

  • infrastructure failures
  • configuration errors
  • security breaches
  • incorrect implementation

The software is provided "as is" for self-hosted use.

13. Service Availability and Changes

We aim to provide high availability but do not guarantee uninterrupted access.

The Service may be modified, suspended, or discontinued at any time.

Service levels, if applicable, are defined separately in an SLA.

14. Liability

To the fullest extent permitted by law:

  • The Service is provided "as is" and "as available"
  • We are not liable for indirect, incidental, or consequential damages

We are not liable for:

  • reliance on data processed through the Service
  • inaccuracies in user-submitted data
  • failure or delay of third-party or distributed systems
  • loss of business, revenue, or data

We do not guarantee the permanent immutability of any record written to external networks.

Our total liability is limited to the fees paid by you in the 12 months preceding the claim.

15. Termination

You may cancel your subscription at any time.

We may suspend or terminate access for:

  • breach of these Terms
  • non-payment

Upon termination:

  • access will cease
  • data may be deleted after a reasonable period

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland.

Disputes are subject to the exclusive jurisdiction of the courts of Zug, Switzerland.

17. Changes to Terms

We may update these Terms from time to time.

Material changes will be communicated via email or the Website.

Continued use constitutes acceptance.
